1. Agreement to these Terms
By accessing or using WorkCentro, you agree to these Terms of Service and the Privacy Policy. If you use WorkCentro on behalf of an organisation, you represent that you have authority to bind that organisation.
If a separate written agreement between Hustle 360 LTD and an organisation conflicts with these Terms, the separate agreement controls to the extent of the conflict.
2. Eligibility and authority
You must be legally capable of entering a binding agreement and authorised to use the WorkCentro account made available to you. WorkCentro is intended for business, workforce and authorised organisational use.
You must provide accurate information and promptly update information that becomes incomplete, misleading or outdated.
3. Accounts and account security
- You are responsible for activity performed through your account.
- You must keep credentials confidential and use reasonable security measures.
- You must not share an individual account unless WorkCentro expressly permits it.
- You must promptly report suspected unauthorised access or security incidents.
- You may not bypass authentication, permissions, transaction limits or security controls.
We may require identity, authority or transaction verification before granting access, processing an instruction or restoring an account.
4. Organisations, administrators and authorised users
Organisations may appoint administrators who can configure the service, invite or remove users, assign permissions, access organisation data and perform actions on behalf of the organisation.
Your organisation controls its users, permissions, records and instructions. Hustle 360 LTD is not responsible for an administrator's internal decisions, including access assignments, payroll inputs, approvals, employment decisions or the accuracy of organisation-provided records.
5. Acceptable use
You must not use WorkCentro to:
- violate any law, regulation, court order or third-party right;
- submit information you are not authorised to process;
- commit fraud, impersonate another person or misrepresent authority;
- send malware, disrupt systems, probe vulnerabilities or attempt unauthorised access;
- circumvent fees, limits, approvals, controls or audit mechanisms;
- interfere with another user's access or misuse support channels;
- copy, scrape, reverse engineer or commercially exploit the service except where law permits;
- use WorkCentro for unlawful lending, money laundering, sanctions evasion or prohibited transactions.
6. Payroll, invoices, payments and remittances
WorkCentro provides software tools that may help organisations create payroll records, payslips, invoices, quotes, payment instructions, receipts, recurring payments and remittance records.
- The organisation or user initiating a transaction is responsible for the accuracy, legality and authorisation of the instruction.
- Estimated totals, taxes, fees and deductions must be independently reviewed where professional or statutory accuracy is required.
- A displayed status does not replace confirmation from the relevant bank, payment processor, regulator, beneficiary or government body.
- Transactions may be delayed, declined, reversed, placed under review or subject to provider limits and compliance checks.
- Users must not make duplicate payments or assume a failed page response means a transaction was not submitted.
7. Third-party services
WorkCentro may connect to banks, payment processors, identity providers, messaging platforms, tax or remittance services and other third-party systems. Those providers may have separate terms and privacy notices.
We are not responsible for third-party outages, processing decisions, settlement timelines, exchange rates, account restrictions or acts outside our reasonable control. We may replace, suspend or discontinue an integration.
8. Fees, taxes, refunds and reversals
Applicable subscription, transaction, processing or service fees will be disclosed through WorkCentro, an invoice, an order form or another agreement. Fees may be changed prospectively with reasonable notice where required.
You are responsible for applicable taxes, statutory deductions and charges, except taxes imposed on Hustle 360 LTD's income. Refund and reversal eligibility depends on the transaction, provider rules, applicable law and the relevant organisation's policy.
9. Customer content and data
You and your organisation retain ownership of information and content submitted to WorkCentro. You grant Hustle 360 LTD a limited licence to host, copy, transmit, display and otherwise process that content only as needed to provide, secure, support and improve the service and meet legal obligations.
You represent that you have the rights, notices, permissions and lawful bases required to submit and instruct us to process the content.
10. Intellectual property
WorkCentro, its software, branding, interfaces, documentation and related materials are owned by Hustle 360 LTD or its licensors and are protected by applicable intellectual-property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use WorkCentro for its intended business purpose.
11. Confidentiality
Each party must use reasonable care to protect non-public information disclosed by the other and may use that information only for the purposes for which it was disclosed, except where disclosure is required by law or authorised by the disclosing party.
12. Service availability and changes
We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Maintenance, upgrades, security events, provider failures and circumstances outside our reasonable control may affect access.
We may modify features, interfaces, limits or technical requirements. We will provide notice of material changes where reasonably practicable.
13. Suspension and restrictions
We may restrict, suspend or investigate access where reasonably necessary to:
- protect users, organisations, third parties or the service;
- respond to suspected fraud, misuse, security threats or unlawful activity;
- comply with law, regulator requests or provider requirements;
- address unpaid fees or a material breach of these Terms;
- prevent harm while facts are being reviewed.
14. Disclaimers
To the maximum extent permitted by law, WorkCentro is provided on an “as available” basis. We do not warrant that every calculation, integration, record, report or third-party response will be complete, current or error-free.
You are responsible for reviewing important payroll, financial, tax, employment, remittance and compliance decisions and obtaining professional advice where appropriate.
Nothing in these Terms excludes warranties, guarantees or rights that cannot lawfully be excluded.
15. Limitation of liability
To the maximum extent permitted by law, Hustle 360 LTD will not be liable for indirect, incidental, special, punitive or consequential loss, or for loss of profits, revenue, goodwill, anticipated savings or data, arising from use of WorkCentro.
Where liability cannot be excluded, any limitation will apply only to the extent permitted by law and will not limit mandatory consumer rights or liability that cannot lawfully be limited.
16. Indemnity
To the extent permitted by law, an organisation agrees to defend and indemnify Hustle 360 LTD against third-party claims arising from the organisation's unlawful content, unauthorised instructions, breach of these Terms or violation of another person's rights.
17. Termination
You may stop using WorkCentro at any time. Organisation accounts may be terminated according to the applicable subscription, order form or written agreement.
On termination, access may end immediately or after an agreed transition period. Provisions that by their nature should survive—including payment obligations, confidentiality, intellectual property, disclaimers, liability and dispute provisions—will continue to apply.
18. Governing law and disputes
These Terms are governed by the laws of Federal Republic of Nigeria, without limiting any mandatory rights that apply to you.
Before beginning formal proceedings, the parties should first attempt in good faith to resolve the dispute by written notice. Subject to applicable law and any separate written agreement, courts with competent jurisdiction in Lagos, Nigeria will have jurisdiction.
19. Changes to these Terms
We may update these Terms to reflect changes to WorkCentro, business practices, law or risk. We will post the revised Terms with a new effective date and provide additional notice where required. Continued use after the effective date means the updated Terms apply, except where law requires another form of acceptance.
